2.Definitions
Company refers to On Balance Entertainment LLC, Alhambra, CA 91801, operating under the brands Merrick McCartha Talent and Headshots by Peggy.
Services means acting talent representation, photography sessions, and all related offerings provided by the Company.
You refers to the individual or entity accessing or using our Services.
Website refers to OnBalanceEntertainment.com and any associated pages or platforms operated by the Company.
3.Eligibility
You must be at least 16 years of age to independently engage our Services. Clients under 18 must have a parent or legal guardian authorize and co-sign any service agreement on their behalf. By booking or engaging with us, you confirm that you meet these requirements.
4.Respectful Engagement
We are committed to professional, respectful relationships with all clients, collaborators, and community members. We maintain a zero tolerance policy for harassment, discrimination, or abusive behavior of any kind — whether in person, during sessions, or in written communications. Violations may result in immediate cancellation of services without refund.
All determinations are made at our sole discretion in alignment with our values and the safety of our team and clients.
5.Purchases and Payments
All payments are processed in USD. We accept major credit and debit cards via Stripe and other approved payment methods indicated at the time of booking. You are responsible for providing accurate and complete payment information.
Fraudulent chargebacks or false payment disputes may result in permanent denial of future services and legal action. We reserve the right to submit documentation to payment processors or appropriate authorities in response to any dispute.
6.Intellectual Property Rights
All content created, published, or distributed by On Balance Entertainment LLC — including website content, promotional materials, session previews, logos, and brand assets — is the intellectual property of the Company and is protected under applicable copyright and trademark law. Unauthorized reproduction or use is strictly prohibited.
Specific ownership rights for photography deliverables and talent materials are governed by the respective service policies below and any written agreement entered into at the time of engagement.
7.Prohibited Activities
You may not use our Services for unlawful purposes, interfere with our website or operations, post harmful or defamatory content about the Company, or misrepresent your identity or credentials when engaging our Services. Violations may result in termination of all current and future engagements.
8.Protection of Reputation
You agree not to make knowingly false, defamatory, or legally actionable statements about the Company, its team members, or its clients. Concerns should be raised professionally and directly with us. This clause applies only to false or defamatory statements and does not restrict honest, good-faith reviews in accordance with the Consumer Review Fairness Act (15 U.S.C. § 45b).

Our website may contain links to third-party platforms (e.g., booking tools, casting directories). We make no representations about those sites and assume no liability for their content, performance, or practices. Our policies do not apply once you leave our website.
10.Limitation of Liability
To the maximum extent permitted by applicable law, On Balance Entertainment LLC shall not be liable for any indirect, incidental, consequential, or exemplary damages arising from your use of our Services. In all cases, our total aggregate liability shall not exceed the total amount actually paid by you for the specific Service giving rise to the claim.
11.Dispute Resolution
Disputes will first be addressed through informal resolution. If a dispute cannot be resolved informally within 30 days of written notice, it shall be submitted to binding arbitration in Los Angeles, California, under the rules of the American Arbitration Association (AAA), except for intellectual property matters, which may proceed directly to court.
12.Governing Law
These Terms are governed by the laws of the State of California, United States. All disputes will be resolved exclusively in Los Angeles, California.

We retain personal data only as long as necessary to fulfill service obligations and meet applicable legal requirements. Photography Session Policy

This Photography Session Policy governs all sessions booked through Headshots by Peggy, a brand of On Balance Entertainment LLC. By booking a session, you agree to the terms below.
Booking & Payment
A non-refundable deposit is required at the time of booking to secure your session date and time. The remaining balance is due on or before the day of your session. Failure to remit full payment prior to the session may result in rescheduling or cancellation.
Cancellations & Rescheduling
We understand that schedules change. Cancellations made at least 48 hours before your session may be rescheduled one time at no additional charge. Cancellations made with less than 48 hours' notice will forfeit the booking deposit. No-shows without prior communication forfeit all amounts paid and may be declined future bookings at our discretion.
Session Conduct
Please arrive on time and prepared. Late arrivals may result in a shortened session with no adjustment to the session fee. The photographer reserves the right to end any session in which a client engages in disrespectful, threatening, or inappropriate behavior — without refund.
Image Delivery
Edited images will be delivered within the timeframe communicated at the time of booking. Delivery timelines are estimates and may vary based on session volume and editing requirements. Rush delivery may be available for an additional fee.
Image Ownership & Usage Rights
Client Use: Upon full payment, you receive a personal use license for your headshot images. You may use them for professional profiles, audition submissions, casting platforms, personal branding, and social media.
Commercial Use: If you wish to use images for commercial advertising, paid campaigns, or third-party publication beyond personal branding, a separate commercial use license is required. Please contact us to discuss.
Copyright: On Balance Entertainment LLC | aka Headshots by Peggy | aka Peggy McCartha retains the copyright to all photographs taken during sessions. You may not sell, sublicense, or transfer the images to a third party without written consent from the Company.
Portfolio Use: We reserve the right to use session images in our portfolio, website, and promotional materials. If you prefer your images not be used in this manner, please notify us in writing at the time of booking. We will honor all such requests.
Model Release
By completing your booking and participating in a session, you grant On Balance Entertainment LLC / Headshots by Peggy a non-exclusive license to use your images for portfolio, website, and promotional purposes as described above. This release does not grant the Company rights to use your likeness in commercial advertising without a separate written agreement.
Clients who are minors must have a parent or legal guardian sign a written Model Release prior to the session.
Satisfaction & Retakes
We are committed to delivering images you love. If you are unsatisfied with your session, please contact us within 7 days of delivery. While we do not guarantee reshoots, we will make every reasonable effort to address your concerns. Refunds are not provided for completed sessions except at our sole discretion.

Talent Representation Policy

This determination is made at the sole discretion of the Company.
Confidentiality
Certain project details, casting opportunities, and business discussions shared with On Balance Entertainment LLC may be confidential in nature. We respect the confidentiality of all parties involved and expect the same in return. Project details should not be shared publicly without mutual written consent.
